Terms of Use

The Website provides information about NVD, its brands and distributed products and supports professional enquiries, account applications, approved-user ordering and related business communications. Product purchasing is not currently offered to members of the general public.

Access to purchasing functions is limited to pharmacies, doctors and other healthcare professionals or healthcare organisations that NVD has verified and approved (each an "Approved Customer"). Publicly available areas may be viewed by other visitors, but no visitor has a right to obtain a professional account or purchase products through the Website.

Website content is provided for general product, business and professional information. It is not medical advice, a diagnosis, a treatment recommendation, prescribing guidance or a substitute for approved product labelling, professional clinical judgment or consultation with an appropriately qualified healthcare professional.

Approved Customers remain solely responsible for complying with all professional, ethical, prescribing, dispensing, storage, recordkeeping, pharmacovigilance and regulatory obligations applicable to them. Product images and summaries may not include every indication, contraindication, warning, precaution, interaction or adverse effect. Users must consult current manufacturer information and approved labelling before relying on product information.

To request store access, an applicant must provide complete, current and accurate information and any credentials or supporting documents reasonably requested by NVD. By applying, the applicant represents that it is authorised to act for the named professional or organisation and that all submitted information is genuine.

NVD may verify information with professional bodies, regulators, employers, business registries or other appropriate sources. NVD may approve, refuse, suspend or withdraw access where verification is incomplete, information is inaccurate, credentials expire, account activity appears unauthorised, or continued access may create legal, regulatory, commercial or security risk. Approval of an account does not oblige NVD to accept any order.

Approved Customers must keep usernames, passwords and verification information confidential; restrict account use to authorised personnel; promptly update account and professional information; and notify NVD immediately of suspected loss, disclosure or unauthorised use.

You are responsible for activity conducted through your account to the extent permitted by law. You must not share an account with an unauthorised person, impersonate another person or organisation, or attempt to bypass approval, access-control or security measures.

Product descriptions, packaging images, prices, availability and other Website content may change without notice. Images are illustrative, and packaging or labelling may differ from that shown. Listing a product does not guarantee availability or constitute an offer that NVD is obliged to fulfil.

Unless expressly stated otherwise, prices are shown in the currency identified at checkout or on the applicable quotation or invoice and may exclude taxes, delivery charges or other fees. The final amount and applicable commercial terms will be presented before payment or stated in an accepted quotation, order confirmation or invoice. NVD may correct typographical, pricing, stock or other errors and may cancel or amend an affected order, subject to applicable law and the return of any amount paid for an order that is not supplied.

An online order is a request to purchase and is subject to NVD's review and acceptance. An automated acknowledgement only confirms receipt; it does not confirm acceptance. NVD may request additional information, impose appropriate quantity or supply limits, or decline an order where necessary for availability, compliance, credit, safety, verification or other legitimate business reasons.

Approved Customers may be offered online payment and/or other payment methods authorised by NVD. Online payments may be processed by an independent payment-service provider. The provider's terms and privacy practices may apply, and NVD does not ordinarily receive or store complete payment-card details. Payment is due according to the terms displayed at checkout or stated on the relevant quotation, invoice or account arrangement.

An order becomes binding when NVD issues an express acceptance, fulfilment confirmation or invoice indicating acceptance, or dispatches the products, whichever occurs first. Where an invoice, quotation, credit arrangement or signed customer agreement contains additional terms, those terms apply to the relevant transaction. If there is a direct conflict, the transaction-specific terms prevail for that transaction.

Delivery times are estimates unless NVD expressly agrees otherwise in writing. Risk, title, delivery responsibility and any applicable charges will be governed by the order confirmation, invoice, delivery documentation or separate written agreement.

Approved Customers must inspect deliveries promptly and notify NVD within the period stated on the invoice, delivery documentation or applicable returns procedure of any shortage, incorrect item, visible damage or other discrepancy. Returns require NVD's prior authorisation and must comply with applicable product-integrity, storage, cold-chain, safety and regulatory requirements. Products that cannot safely or lawfully be returned to sale may be ineligible for return except where defective, incorrectly supplied or otherwise required by law.

Customers must cooperate promptly with product withdrawals, safety notices and recalls, including by identifying affected stock, suspending distribution where directed, maintaining traceability and following NVD's or the relevant manufacturer's instructions.

You must not:

• use the Website unlawfully, fraudulently or in a manner that infringes another person's rights;
• submit false credentials, professional details, orders or payment information;
• copy, scrape, harvest or systematically extract Website content or account information without written permission;
• introduce malware, interfere with Website operation, test vulnerabilities without authorisation, or attempt unauthorised access;
• resell, redistribute or represent Website content as your own, except as expressly authorised by NVD; or
• use product content to promote an unapproved, unlawful or misleading medical or therapeutic claim.

The Website and its text, graphics, layout, databases, software, photographs, product presentations and NVD branding are owned by or licensed to NVD and are protected by applicable intellectual-property laws. Product names, logos and trademarks belonging to manufacturers or other third parties remain the property of their respective owners.

NVD grants you a limited, revocable, non-exclusive and non-transferable permission to access and use the Website for legitimate personal viewing or Approved Customer business purposes. No ownership rights are transferred. Any other reproduction, modification, distribution, publication or commercial exploitation requires prior written permission from the relevant rights holder.

The Website may link to or integrate services operated by third parties, including payment processors, delivery providers, email services, analytics providers, manufacturers or regulatory resources. NVD does not control third-party websites or services and is not responsible for their content, availability, security or privacy practices. A link does not imply endorsement unless expressly stated.

NVD may update, suspend, restrict or discontinue any part of the Website, including store access, features, product listings and account functions. Although NVD takes reasonable steps to maintain the Website, uninterrupted, error-free or completely secure access is not guaranteed. Maintenance, security incidents, telecommunications failures and circumstances outside NVD's reasonable control may affect availability.

To the fullest extent permitted by Jamaican law, the Website is provided on an "as available" basis. NVD does not warrant that all content will always be complete, current or error-free, or that the Website will be uninterrupted or free from harmful components. Nothing in these Terms excludes any warranty, right or liability that cannot lawfully be excluded.

To the fullest extent permitted by law, NVD will not be liable for indirect, incidental, special or consequential loss arising from Website use or inability to use the Website, including loss of profit, business opportunity, goodwill or data. This limitation does not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited. Product-related rights and remedies may also be governed by the relevant supply agreement, manufacturer terms and applicable law.

To the extent permitted by law, you agree to indemnify NVD against reasonable losses, claims, liabilities and costs arising from your unlawful use of the Website, material breach of these Terms, submission of false professional or account information, infringement of another person's rights, or unauthorised use of your account, except to the extent caused by NVD's own breach, negligence or misconduct.

NVD may suspend or terminate Website or account access where these Terms are breached, verification requirements are no longer satisfied, payment obligations remain outstanding, activity threatens security or compliance, or suspension is otherwise reasonably necessary to protect NVD, manufacturers, customers, patients or the public. Provisions that by their nature should survive termination, including intellectual-property, liability, indemnity and governing-law provisions, will continue to apply.

NVD handles personal information in accordance with its Privacy Policy, which forms part of these Terms. By submitting information, you confirm that you are authorised to provide it and that it is accurate. If you provide information about another person, you must have a lawful basis and any required authority to do so.

NVD may revise these Terms to reflect changes in law, regulation, technology, business practices or Website functions. The updated version will be posted with a revised effective date. Material changes may also be communicated through the Website, by email or through an account notice where appropriate. Continued use after the revised Terms take effect constitutes acceptance, except where law requires another form of consent.

These Terms are governed by the laws of Jamaica. The courts of Jamaica will have jurisdiction over disputes arising from the Website or these Terms, without preventing either party from seeking urgent protective or injunctive relief where legally available.

If any provision is held invalid or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. A failure or delay in enforcing a right is not a waiver. You may not assign your Website account or rights under these Terms without NVD's prior written consent. These Terms, the Privacy Policy and any applicable transaction-specific terms constitute the relevant agreement concerning Website use.
